Terms of Service

These Terms of Service ("Terms") govern your use of Eclipse Storefronts, a product of Eclipse Fulfillment, LLC ("Eclipse," "we," "us"). By creating an account or using Eclipse Storefronts, you agree to these Terms.
1. What your subscription provides
Eclipse Storefronts is a subscription service. Depending on the plan you purchase, your subscription provides:
- A hosted storefront— we build, host, and operate your online store's infrastructure (web address, storefront pages, product catalog, checkout plumbing) on our servers, at the traffic and product allowances of your plan.
- The AI store designer — AI-assisted design, editing, and content tools, with a monthly allowance of metered AI interactions that varies by plan. Allowances reset each billing month; when an allowance is reached, the related feature politely blocks until the next month or an upgrade — your store itself stays online.
- Supplier integration — guided connection of your own supplier/fulfillment account (e.g. CJ Dropshipping) and tools to find and import products into your store.
- A custom web domain (plans that include it) — registration of one standard-price domain name, or connection of a domain you already own, per Section 6.
Your subscription is billed on a recurring basis through our billing provider, CheckoutChamp, until you cancel. Plan allowances, prices, and one-time setup fees are those shown at signup or upgrade.
We never hold your card details.All billing is performed by our payment platform, CheckoutChamp; your card number and payment credentials are collected, stored, and charged by that platform and are never transmitted to, seen by, or stored on Eclipse systems. Where these Terms refer to a charge against "the payment method on record," that record lives with the billing platform, not with us. Because we never possess card data, Eclipse is not liable for the loss, theft, or compromise of payment-card information, which remains the responsibility of the payment platform that holds it.
2. Our role — host, not merchant of record
We provide the software, hosting, and AI design tools. You — the store owner — are the seller and merchant of record for everything sold through your store. We are not a party to any sale you make, we never take a percentage of your sales, and we never hold or custody the funds your store earns. You connect and control your own payment processor (Stripe/PayPal or similar) and your own supplier/fulfillment account and wallet (CJ Dropshipping or AppScenic).
3. Your responsibilities
As the owner of your store, you are solely responsible for:
- The products you list, their descriptions, pricing, and legality in the markets you sell into.
- Complying with all laws that apply to your business, including consumer-protection and advertising rules.
- Collecting, reporting, and remitting any sales tax or other taxes you owe as the seller of record.
- Your relationship with your customers, including fulfillment, returns, refunds, and support.
- Keeping your account credentials secure and everything you connect (payment processor, supplier account) in good standing.
4. Acceptable use
You agree not to use Eclipse Storefronts to:
- Sell illegal, counterfeit, or prohibited goods, or engage in fraud.
- Infringe anyone's intellectual property or other legal rights.
- Attempt to disrupt, reverse-engineer, or gain unauthorized access to our systems or another owner's store.
- Violate the terms of any third party you connect through our platform (payment processor, supplier, domain registrar, etc.).
We may suspend or terminate accounts that violate this section.
5. Billing, refunds & suspension
Subscriptions are billed on a recurring schedule through CheckoutChamp at the plan rate shown at signup, plus any one-time setup fee shown at signup or upgrade.
- Setup fees are non-refundable.A setup fee pays specifically for the one-time services delivered when your store is created or upgraded: provisioning and configuring your store's dedicated hosting infrastructure and web address, activating your access to the AI store designer and its build tools, connecting your supplier catalog and product-import tooling, and standing up your storefront ready to customize. Your use of these services — signing in, building and editing your store, AI design interactions, product imports, publishing — is recorded, and a refund request is evaluated against that record of the services you accessed and used.
- Hosting fees cover the billing period they are charged for. Cancelling stops future billing; your store stays online through the end of the period you have already paid for. Hosting fees already charged are not refunded for partial months, except as described below for upgrades or where required by law.
- Plan upgrades take effect immediately.When you upgrade, our billing platform charges the payment method on record for the new plan's hosting fee plus the difference between the new and old setup fees (your original setup fee is credited, never re-charged), your new limits unlock right away, and we refund the prorated unused portion of the hosting fee you had already paid on the old plan.
- Downgrades are offered only through support.Lower tiers carry inherent constraints and limitations (product caps, AI allowances, traffic limits, included features) that your store may already exceed — a downgrade therefore requires a guided review with our team so nothing you've built is broken or lost. Contact support to arrange one.
- Failed payments. If a recurring charge is declined, we notify you and your store continues to run during a short grace period (currently 5 days) while you update your payment details. If the payment is not resolved by the end of the grace period, your store is suspended (taken offline, data retained) until payment is restored.
- Refunds and chargebacks end service. If a subscription charge is refunded, service for the period that charge paid for ends at the time of the refund, and your store is suspended.
- Cancellation through support is the sole method of ending this agreement. You acknowledge and agree that cancelling through us as described in these Terms is the sole means and method of terminating your subscription, and that any effort to cancel, chargeback, reverse, or otherwise recoup any payment made or owed to Eclipse inconsistent with these Terms is ineffective, invalid, and unenforceable. You will be liable to Eclipse for the cost of responding to any such effort, including but not limited to court costs and reasonable fees, regardless of the outcome of such efforts.
6. Custom domains
On plans that include a custom domain:
- Your plan includes registration of one standard-price domain name. Premium or above-standard-price names are not included (we'll tell you before anything is charged; support can help with premium names).
- You are the registrant — the domain is yours. We register it with your contact details as the registrant of record, with WHOIS privacy enabled by default, and we act as the billing/technical contact so we can manage DNS and renewals for you.
- We pay the domain's registration and renewal fees for as long as your qualifying subscription is active. If your subscription ends, renewal stops and the domain lapses at the end of its paid registration period unless you take it over.
- You may transfer your domain to your own registrar account at any time after ICANN's mandatory 60-day post-registration lock — ask support and we'll complete the transfer promptly at no charge.
- Domains you already own and connect ("bring your own domain") stay entirely yours — we never take any role in their registration.
7. Data we collect & how we use it
We keep records of how the service is used — both to run it and to fairly resolve any billing question or dispute later. Specifically:
- Account & consent records — your account details, and a record of each time you accept these Terms (version accepted, time, IP address, browser).
- Service-activity records — timestamped records of the actions you take on the platform: signing in, completing onboarding steps, connecting accounts, importing products, using the AI designer (counts and kinds of AI interactions — not the content of your designs beyond what you save), publishing your storefront, and domain changes.
- Traffic & usage metrics— aggregate measurements of your store's traffic (page views, bandwidth, order counts) used for your dashboard, plan allowances, and service analytics. Web-server request logs are retained for a limited period.
- Billing records — every charge, refund, and billing event on your subscription, including the confirmation records our billing provider sends us, and copies of the emails and notices we send you.
We use these records to operate and improve the service, provide support, meet legal obligations, and — where necessary — to document the service you received in the event of a payment dispute or chargeback. Financial, consent, and service-activity records are retained for up to 7 years, including after your account or store is deleted (a standard legal-obligation/legitimate-interest retention). Your store's content and your shoppers' personal data live in your store's own site and are destroyed when your store is torn down. We do not sell your data.
8. Your content & our platform
You keep ownership of your store's content (branding, product copy, images you upload). You grant us the license needed to host, display, and operate your storefront as part of the service. We own the Eclipse Storefronts software, design system, and AI tooling.
9. Disclaimer of warranties
Eclipse Storefronts is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee your store will generate any particular level of sales.
10. Limitation of liability
To the fullest extent permitted by law, Eclipse and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose.
11. Termination
You may stop using the service and cancel your subscription at any time. We may suspend or terminate your account for violating these Terms, non-payment, or to protect the platform or other owners, with notice where practical.
12. Changes to these Terms
We may update these Terms as the platform evolves. Each version is date-stamped; for material changes we'll let you know by email and ask you to accept the updated Terms the next time you sign in. Continuing to use the service after a change means you accept the updated Terms.
